Terms of Service

The Customer Means; The entity or person, who will be classified as either a sole trader, corporation, company or business, who has registered for The Service.

The Service Means; Unrive.io performing visitor tracking services and trading as unrive.io which is operated wholly by Vertigo Street Ventures Ltd with company number 14322223.

General Terms

The Service is operated by a company registered in the United Kingdom with the company number 14322223 at Companies House, Cardiff.

By using The Service you agree to the following;

You are 18 years old or older and have the capacity to agree to commercial agreements.

You are entering into a business-to-business agreement and not a retail service.

You agree any third-party use either through the API, user login or password login, will also be subject to these terms.

You agree any legal issues arising from the use of this website will be handled by a court of law in Manchester, England.

You agree The Service authors will be held not liable for any issue explained below, arising from the use of The Service. Using The Service is at your own risk and you agree to understand the risks, as detailed below.

Privacy Law, GDPR and CCPA Compliance

It's The Customers own responsibility to ensure use of The Service is compatible with any relevant privacy law.

The Customer agrees it is their own responsibility to ensure, their use of The Service is compliant with any relevant national or international privacy law including, but not limited to GDPR and CCPA. The Service will be held not liable for any non-compliance in relation to privacy laws, GPDR and CCPA non compliance on behalf of The Customer.

The Customer agrees it's their own responsibility to ensure compliance with the following definitions: Non Sensitive PII and Sensitive PII. For the purpose of GDPR and CCPA (but not limited too). The Customer specifically agrees to hold The Service non liable for any use in relation to these terms.

Life Critical Software, Web Apps and Websites

The Customer agrees not to use The Service on any software, web app or website which can cause harm, death or personal injury. Not limited to a result of using, integrating or otherwise using The Service in software, app or website. The Customer agrees The Service is not liable for any legal liability in relation to harm, death or personal injury and The Customer agrees to defend The Service from this liability specifically. The Customer Agrees this clause is specific and not a blanket disclaimer.

Issues Impacting The Customer's Service and The Service Downtime

The Customer agrees to hold The Service not liable and free from legal liability when The Service causes interruption to The Customer's service, this includes but is not limited to page loading delays, errors, and defects to The Customers Service.

The Customer agrees to hold The Service not liable and free from legal liability when The Service is unavailable, unavailable to record or view statistics, unavailable on some parts of the internet, server issues causing the service to be completely unavailable for any (unlimited) period of time.

Backups and Data Loss

The Customer agrees The Service is not liable and free from legal liability for data loss or backup of data loss. The Service reserves the right to delete data without notice in line with these terms.

The Customer agrees The Service is backed up at regular intervals and these backups may not contain the most up to date information. The Customer agrees to using the service on this basis.

The Customer agrees to keep their own backups using the export functionality provided in The Service.

Accidental Data Loss

The Customer agrees The Service is not liable for accidental data loss or loss of backups of Customer data.

Free Plans

The Customer agrees, The Service plans to implement paid accounts in the future, free plans could or would then be subject to resource limitations, which include (but not limited to) a maximum number of visitor tracks per month before requiring a plan upgrade. The Customer agrees to this term.

Acceptable use

The Customer agrees The Service can suspend or remove, without notice any Customer who's use, takes up too much computing resources or causes The Service to degrade or The Service determines The Customers use, could in the future.

Legal Use

The Customer agrees any use of The Service will be lawful under English Law.

Public and Private Sector Procurement, Certification, Checks or Audit

The Customer agrees The Service is under no obligation to provide any further documentation, additional information, other than what is currently provided on its public-facing website for the purpose of procurement, certification, validation, checks (company or personnel), testing or audit by any public sector or private sector entity, third party or otherwise. Further, The Service will not assist any customer or third party in the procurement of public or private sector contracts. The customer agrees The Service may not be suitable in some third-party cases.

Prohibited & Unacceptable Uses

The Customer agrees use of The Service will be lawful under English Law & International Law. The Customer agrees to ensure they use The Service for lawful use only.

The Service reserves the right to suspend and or remove, without notice, at their discretion, any customer who's content, service or use is deemed unacceptable.

The Service Accuracy, Software Defects and Bugs

The Customer agrees due to the type of service offered; bugs, defects or errors have a high probability of appearing and are considered a normal part of providing The Service. The Customer agrees software defects are to be expected.

The Service isn't guaranteed to be completely accurate and without fault. Including but not limited to visitor count data, general statistic data, acquisition data, geo and device data, The Customer agrees to use The Service on this basis.

The Customer agrees The Service is not liable for any legal liability in relation to any liability caused by a Bug, defect or error, third party or otherwise.

Termination

The Service being provided to The Customer can be terminated by The Service within 7 days of email or user login notification. The Customer agrees The Service is provided under this termination period. Unless The Customer has violated the acceptable use clause, then that term will take precedence.

Severability & Enforceability

The Customer agrees if a competent authority finds any of these terms unenforceable. The Customer still explicitly agrees the rest of the terms in the agreement are still binding under this agreement.

Theft and Loss

The Customer agrees The Service is not liable for any legal liability in relation to any loss or theft of The Service, The Customer data, accompanying documents, electronic email or any other item related to The Service.

Limitation of Liability

The Customer agrees to limit the liability of The Service under all circumstances to a monetary limit of £0.

Court of Law

The Customer and The Service exclusively agree to a court of law in Manchester, England for any legal dispute in relation to this agreement or The Service.

The Customer and The Service agree the laws of England and Wales will be used to govern this agreement and The Service.

Unrive™, Unrive.io™ and Unrive Analytics™ is a common law protected trademark in the united kingdom and other countries.

Third Party Trademark Information

Google®, Chrome® and Windows® are either registered trademarks or trademarks in the United States and/or other countries, their rights are acknowledged here. All third party trademarks used in this website their rights are acknowledged here.
